Terms of Service

1. Acceptance of Terms

By creating an account and accessing SignalSyncAds (the "Service") operated by Elaidy ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, including the mandatory arbitration provision and class action waiver, you may not use our Services.

2. Description of Service

SignalSyncAds provides a server-side conversion tracking infrastructure designed to help advertisers forward conversion events to platforms like Meta (Facebook) Ads and Google Ads. We act as a data processor for your conversion data.

Important: Our offering is an entirely software-automated service. No human-driven services, manual tracking, or personalized consulting are included in the standard offering.

3. User Responsibilities

You are responsible for obtaining all necessary consents from end-users regarding the collection and processing of their personal data, in compliance with applicable laws (e.g., GDPR, CCPA). You warrant that you will not use the Service to transmit sensitive personal health Information (PHI) or other prohibited categories of data.

4. Account Registration and Security

You must provide accurate, current, and complete information when creating an account. You are responsible for safeguarding your account credentials, API keys, and any access tokens issued to you. You agree to notify us immediately of any unauthorized use of your account. You are solely responsible for all activities that occur under your account, whether or not you authorized them.

5. Acceptable Use

You agree not to use the Service to: (a) violate any applicable law, regulation, or third-party right; (b) send spam, fraudulent conversions, or artificially inflated events; (c) attempt to probe, scan, or test the vulnerability of our systems without written permission; (d) reverse engineer, decompile, or attempt to derive the source code of the Service; (e) resell, sublicense, or white-label the Service without a written agreement; (f) upload malicious code, viruses, or any content intended to disrupt the Service; or (g) use the Service to process the personal data of children under 16 years of age, or to process data subject to HIPAA, GLBA, or other regulated regimes we have not agreed to in writing.

6. Subscription, Free Trial, and Payments

SignalSyncAds offers subscription plans billed on a recurring basis (monthly or annually). Payment processing is handled by our Merchant of Record, Paddle. You agree to keep your payment information current. Failure to pay may result in suspension of Service.

Free Trial. New accounts may be eligible for a 14-day free trial of the Standard plan. The trial begins on the date of account creation. No credit card is required to start the trial. If you do not subscribe before the trial ends, your account pauses and inbound events are no longer forwarded. Your configuration data is retained for 30 days, after which it may be deleted.

Auto-Renewal. Paid subscriptions automatically renew at the end of each billing cycle for an additional period of the same length, at the then-current price, unless you cancel before the renewal date. You may cancel at any time from your account settings or the Paddle billing portal.

Price Changes. We may change subscription prices at any time. For monthly plans, price changes take effect on your next billing date following at least 30 days' notice. For annual plans, the price you paid at sign-up is locked in for the duration of the current annual term; renewal will be at the then-current price.

Taxes. Prices are exclusive of any applicable taxes, which Paddle will calculate and collect as the Merchant of Record.

7. Refunds

Refund eligibility is governed by our Refund Policy, which is incorporated into these Terms by reference. Unless required by mandatory consumer protection law in your jurisdiction, the Refund Policy controls.

8. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, for conduct that implies a violation of these Terms, is harmful to other users of the Service, us, or third parties, or for any other reason.

Termination by You. You may terminate your account at any time from your account settings. Termination is effective immediately, but you will retain access to the Service through the end of your current paid billing period.

Effect of Termination. Upon termination, your right to use the Service ceases. You may request a copy of your configuration data within 30 days of termination by emailing support@signalsyncads.com. After 30 days, we may delete all data associated with your account, including any stored conversion events and configuration. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution) will survive.

9. Intellectual Property

The Service, including its software, design, branding, documentation, and underlying technology, is and remains the exclusive property of Elaidy and its licensors. These Terms do not transfer any ownership rights to you. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

Your Data. You retain all rights to the data you submit to the Service ("Client Data"). You grant us a worldwide, non-exclusive, royalty-free license to use, process, transmit, and store Client Data solely to provide the Service and as described in our Privacy Policy.

Feedback. If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose, including improving the Service, without obligation to you.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF RESULTS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL MEET YOUR REQUIREMENTS. THE SERVICE IS A SOFTWARE-ONLY TOOL AND DOES NOT GUARANTEE ANY SPECIFIC AD PERFORMANCE, RETURN ON AD SPEND, OR REVENUE OUTCOME.

11. Limitation of Liability

To the fullest extent permitted by law, SignalSyncAds shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, even if we have been advised of the possibility of such damages. In jurisdictions that do not allow the exclusion of certain damages, our liability will be limited to the maximum extent permitted by law.

In no event will our total aggregate liability arising out of or relating to the Service exceed the greater of (a) the total amount you paid us in the twelve (12) months preceding the event giving rise to the liability, or (b) one hundred U.S. dollars (US$100). This limitation applies regardless of the form of action, whether in contract, tort, statute, or otherwise.

The limitations in this section do not apply to liability that cannot be excluded or limited under applicable law, including (where applicable) death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

12. Indemnification

You agree to defend, indemnify, and hold harmless Elaidy and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any applicable law, or (d) your Client Data, including any claim that your Client Data infringes a third party's rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Elaidy is incorporated, without regard to conflict-of-law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, will be determined by binding arbitration, rather than in court. You and we each waive the right to participate in any class action, class arbitration, or other representative action. Judgment on the award may be entered in any court of competent jurisdiction.

Note: The arbitration and class action waiver language above is a placeholder. It must be reviewed and finalized by qualified counsel before going into effect in any customer-facing location.

14. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will provide notice through our Services, or by other means, to provide you the opportunity to review the changes before they become effective. Your continued use of the Service after the effective date of the changes constitutes acceptance of the updated Terms.

15. General Provisions

Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms to any of our affiliates, or in connection with a merger, acquisition, or sale of assets.

Entire Agreement. These Terms, together with the Privacy Policy, Refund Policy, and Cookie Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.

No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Service Level. The Service is provided on a best-efforts basis. We do not commit to a specific uptime percentage, response time, or availability SLA unless explicitly agreed in a separate written agreement.
